Stein Forbes is, therefore, authority that a contract for the sale of goods for delivery c.i.f., payment “cash against documents on arrival of the steamer”, is not a contract falling within s.49(2) of the Act, because the price under such a contract is payable against delivery. It is part of the ratio of Stein Forbes that: (i) if delivery is a condition of the obligation to pay the price, then within the meaning of s.49(2), the price is not payable “on a day certain irrespective of delivery” (emphasis added); and (ii) if payment is “cash against documents” under a c.i.f. sale, then delivery is a condition of the obligation to pay the price.
