The seller’s claim for the price failed (ibid, at 330 lhc-331 lhc). The seller said that s.49(2) applied. Roche J dismissed that claim, following and applying Stein Forbes. He rejected a submission that Stein Forbes turned on the fact that the price was payable against documents “on arrival”, whereas in Muller Maclean it was payable against documents simpliciter (meaning it was payable whether the ship arrived or not); and concluded in any event that, “in a case where delivery of the documents was the manner in which performance of the contract was to be implemented, and payment is to be made against delivery of documents, that price is not payable on a day certain irrespective of delivery within the meaning of [s.49(2)]” (ibid at 330 rhc,my emphasis for clarity as to the point decided). He also considered, obiter,that the price was not payable on a ‘day certain’, because it was not sufficient that by reason of events subsequent to the contract, a certain day on which payment ought to have been made had come to exist. Roche J considered that did not make the day certain under or by virtue of the contract, referring to The Merchant Shipping Co, Ltd v Armitage, despite its very different subject matter (see paragraph 43 above).
