Tradax v Goldschmidt [1977] 2 Lloyd’s Rep 604.
In this case, decided by Slynn J (as he was then), the buyer under a contract for the sale of White Syrian barley f.o.b. stowed trimmed Lattakia, payment “Cash against documents on presentation”, refused to take up or pay for the shipping documents on a certain shipment under the contract. By agreement between the parties the goods were sold ‘as is’, without prejudice, for net sale proceeds of US$89,242. In arbitration, a GAFTA Board of Appeal decided that the buyer had not been entitled to reject the goods or the shipping documents and that the seller was entitled to the sum of US$26,728.24, which was equal to the unpaid contract price less the net sale proceeds of the post-rejection sale.
