The Defendants submit that in the context of the negotiations of the agreement, it was in the contemplation of the parties that the Metro’s brand was going to be franchised, and so there was an implied term that any franchisees would not be sued in the same way that KK would not be sued by reason of using the Metro’s Signs as defined in that agreement.
