On the basis of the foregoing, we summarise our key findings about the link between the ASA and the capital raising as follows:

Barclays’ Board had decided that the commission payable for participating in the capital raising was 1.5%.

(2)

The Qataris would only participate in the capital raising exercise if they received a total of 3.5%.

(3)

Barclays looked for a way of delivering the extra 2%, and decided on the ASA.

(4)

The ASA was a side deal to fill the value gap between the 1.5% fixed by Barclays’ Board and the 3.5% required by the Qataris. The ASA and the Qataris’ contribution to the capital raising formed a package and were connected.
