Information is exempt information if—

it was obtained by the public authority from any other person (including another public authority), and
the disclosure of the information to the public (otherwise than under this Act) by the public authority holding it would constitute a breach of confidence actionable by that or any other person.”
Since Megarry J’s judgment in Coco v AN Clark (Engineers) Ltd [1969] F.S.R. 415 featured prominently in argument, I shall endeavour to summarise it here. At [419], Megarry J held that “three elements are normally required if, apart from contract, a breach of confidence is to succeed”:
