In FCA v Avacade Ltd and others [2020] EWHC 1673 (Ch), (“Avacade”) at [454], Adam Johnson J adopted the summary of the law set out in Capital Management, which he found to be “entirely correct”.

The appellants in Avacade had taken legal advice (see [449(ii) of the judgment]), but Johnson J said at [471] that this was irrelevant, because “knowingly concerned” requires knowledge of the facts “and it is immaterial whether or not the individual knows that such facts constitute a relevant contravention”.
