Findings of fact
Our findings of fact about the membership of the Board and the main Committees are at §85ff. In particular:
Mr Arden and Mr Donaldson were the only executive directors of the Bank;
Most of the NEDs were experienced in financial services and many had worked for other listed entities.
The Audit Committee was chaired by Mr Bernau; Mr Carby, Mr Lockhart and Mr Snyder were members. Mr Donaldson, Mr Arden and Ms Gillan attended as guests.
The CRPAC was not attended by any Board members.
The members of the Disclosure Committee were Mr Donaldson, Mr Arden and Ms James.
