Whilst paragraphs 3.2.6 and 3.2.7 plainly fall within the general pleading allegation relating to the whole of Section 3.2, it is of note that the absence of adequate proposals for knowledge transfer pursuant to these sub-clauses were not specifically identified as breaches at paragraph 106.1 or 112 of the Amended Defence and Counterclaim.

In respect of knowledge transfer, the information contained within v0.9 was clearly generic. The criticism advanced by DBS was that v0.9 did not include the level of specific planning which was ultimately included in v0.18, based upon the ‘comprehensive proposals’ for knowledge transfer that Mr Padannayi put together in October 2019.

In relation to the obligation at Clause 3.2.6, the v0.9 comment spreadsheet included the following concern and response (in red):

There is no specific complaint by DBS in respect of this response, and as indicated above, Dr Hunt does not descend into sufficient detail to form a view as to why further specific details pursuant to this obligation were required. On the face of it, the types of information TCS indicated it would provide in order to permit the replacement contractor to recruit its resources seem reasonable.
