This was not a specific complaint made in paragraph 106 of the Amended Defence and Counterclaim, and neither the experts nor the factual witnesses give any description of how DBS failed to comply with this obligation.
This Clause clearly related to specific requirements made by a replacement contractor during the process. Nothing specific was required in the STP produced in advance of the identification of particular information or assistance required by a replacement contractor.
I find that STP v0.9 was not in breach of Clause 3.2.14 of Schedule 2-11.
In the circumstances DBS has established that v0.9 was deficient in breach of Clause 3.2.7 of Schedule 2-11, in that the sort of details of how knowledge transfer would take place identifying a minimum level of provision were absent. However, DBS has failed to establish that the v0.9 was deficient such that TCS was in breach of Clause 3.2 of Schedule 2-11 in the other respects alleged.
