TCS contends that the phrase ‘implementation Charges’ should be equated with the term ‘Modernization Release’. This is a reference to one of the Milestones found within the table following Clause 2.4.2. The Milestone does not describe itself as or makes no reference to ‘implementation Charges’. Whilst ‘implementation Charges’ is not a defined term, ‘Charges’ is. It is defined as ‘the rates and charges for the provision of Services ser out in, and derived in accordance with, Schedule 2-3 (The Charges and Charges Variation Procedure) including any Milestone Payment, Stage Payment, Service Charge or Non Volume Based Charges.

I do not consider that it is possible to discern from the use of the word ‘implementation’ a clear or meaningful intention to identify a particular subset of the Charges. I reject the suggestion that, objectively, it was intended to refer solely and specifically to what TCS has identified as the Modernization Release. As such, TCS has not identified what figure should be utilised for the purposes of calculating a cap. In these circumstances, I accept DBS’s contention that no limit to Delay Payments has been identified.
